These Terms of Service ("Terms") govern your access to and use of the Roodee AI Chat platform ("Service"), operated by Roodee Pty Ltd (ABN 23 689 968 545), trading as Roodee AI Lab ("Roodee", "we", "us", or "our"). By creating an account or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Roodee AI Chat is a software-as-a-service platform that enables businesses to deploy AI-powered customer service agents ("AI Employees") on their websites. The Service includes knowledge base management, conversational AI, lead capture, and human escalation features.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, complete, and current information during registration and to update such information as necessary. You are solely responsible for all activity that occurs under your account, whether or not authorised by you.

4. Subscription and Payment

4.1 Plans and Billing

The Service is offered under various subscription plans, each with defined usage limits. Subscriptions are billed in advance on a monthly or annual basis in Australian Dollars (AUD). All prices are exclusive of GST unless stated otherwise.

4.2 Free Trial

We may offer a free trial with limited functionality. At the end of the trial period, your access will be restricted unless you subscribe to a paid plan. We reserve the right to modify or discontinue trial offerings at any time.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your dashboard. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.

4.4 Price Changes

We may change subscription prices with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Transmit content that is unlawful, defamatory, obscene, or otherwise objectionable;
  • Impersonate any person or entity, or misrepresent your affiliation;
  • Upload or distribute viruses, malware, or other harmful code;
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems;
  • Use the AI Employees to provide medical, legal, financial, or other professional advice;
  • Scrape, data-mine, or reverse-engineer any part of the Service;
  • Resell, sublicense, or redistribute the Service without our prior written consent;
  • Use the Service in any manner that could damage, disable, or impair the Service.

We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated these Terms.

6. Your Content and Data

6.1 Ownership

You retain all rights to the content, data, and materials you upload to the Service ("Your Content"), including knowledge base documents, FAQs, and business information. You grant us a non-exclusive, worldwide licence to use, process, and store Your Content solely to provide and improve the Service.

6.2 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent and warrant that you have all necessary rights and permissions to upload and use Your Content with the Service.

6.3 AI-Generated Responses

The AI Employees generate responses based on Your Content and general language models. You acknowledge and agree that AI-generated responses may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, monitoring, and ensuring the accuracy of all responses provided by AI Employees to your end users.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, error-free, or secure;
  • AI-generated responses will be accurate, complete, reliable, or suitable for any particular purpose;
  • The Service will meet your specific requirements or expectations;
  • Any defects or errors in the Service will be corrected;
  • The Service will be compatible with any particular hardware, software, or network environment.

You expressly acknowledge that AI technology is inherently unpredictable and may produce unexpected, incorrect, or misleading outputs. Roodee is not responsible for any decisions, actions, or consequences arising from reliance on AI-generated content.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE AUSTRALIAN CONSUMER LAW), IN NO EVENT SHALL ROODEE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, business, goodwill, data, or anticipated savings;
  • Any damages arising from or related to AI-generated content, including inaccurate, misleading, or inappropriate responses provided by AI Employees to your end users;
  • Any loss or damage resulting from your end users' reliance on AI-generated responses;
  • Any damages resulting from unauthorised access to or alteration of your data or transmissions;
  • Any damages arising from interruption, suspension, or termination of the Service.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy that cannot lawfully be excluded or limited under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

9. Indemnification

You agree to indemnify, defend, and hold harmless Roodee and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service;
  • Your Content or the responses generated by your AI Employees;
  • Your violation of these Terms;
  • Your violation of any applicable law or third-party right;
  • Any claim by a third party (including your end users) related to the AI-generated responses or content provided through your use of the Service.

10. Intellectual Property

The Service, including its design, code, algorithms, trademarks, logos, and documentation, is owned by Roodee and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.

11. Third-Party Services

The Service integrates with third-party providers (including but not limited to OpenAI, Stripe, and Amazon Web Services). We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is subject to their respective terms and policies.

12. Data Processing and Privacy

Our collection, use, and handling of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that conversation data between your end users and AI Employees is processed and stored to provide the Service.

13. Suspension and Termination

13.1 By You

You may cancel your subscription and close your account at any time through your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or if required by law. We may also terminate the Service or any part thereof at any time with 30 days' notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete Your Content and data within 30 days of termination. You are responsible for exporting any data you wish to retain before termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes (via email or in-app notification). Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

16. General

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Roodee regarding the Service.
  • Severability: If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or third-party service outages.
